Job Description

As Manager – New Business Development (NBD), M&A and Deal Making, you are responsible for identifying, evaluating, structuring and executing growth opportunities that strengthen Staatsolie’s strategic position and long‑term value. You drive inorganic growth by leading mergers and acquisitions, divestments, farm‑ins/farm‑outs, joint ventures and strategic partnerships across upstream, midstream, downstream, and emerging energy segments. In this role, you ensure disciplined and well‑governed transaction execution, fully aligned with Staatsolie’s corporate strategy, risk appetite, and financial objectives.

You will be part of S&BD leadership team, and you will work closely with Executive Committee (ExCo) and key external stakeholders, including international oil companies, national oil companies, financial institutions, government authorities and external advisors. A key component of the mandate includes supporting maturation of offshore portfolio, monetizing the hydrocarbons, organizing funding of capital projects, and the preparation and execution of a potential IPO of selected portfolio assets, including portfolio structuring, equity story development and coordination with external advisors.

The headline size and financial impact of the responsibilities will range from US$100s of million to US$ over a billion, depending on the nature of the opportunity at hand.

We are looking for a senior M&A professional with a demonstrated track record of delivering multiple deals in the oil & gas and energy sector.
– Originate, evaluate and execute transactions and investment opportunities across Upstream, Downstream, Power and Retail, both domestically and internationally.
– Develop robust, data-driven investment theses incorporating commercial, fiscal, technical and geopolitical considerations.
– Oversee and lead the full transaction lifecycle for M&A, and new business development opportunities
– Lead negotiation of complex agreements, including Sale & Purchase Agreements (SPAs), Shareholders’ Agreements (SHAs), Joint Venture Agreements (JVAs), and related commercial frameworks.
– Structure and negotiate joint ventures with international partners, including governance models, decision rights, funding arrangements, and alignment of shareholder interests.
– Lead initiatives for funding of multi-billion USD offshore investment, through a combination of RBLs, Corporate loans, Bonds or junior debt linked to offtake arrangements for Crude or LNG sales.
– Facilitate and coordinate preparation for a potential IPO of selected portfolio assets, including: i) portfolio perimeter definition and structuring, ii) equity story development and valuation positioning, iii) and financial analysis and investor messaging
– Coordinate closely with financial advisors, investment banks, and legal counsel throughout the IPO process.
– Ensure alignment across internal stakeholders on deal structure, terms, and post-close requirements
– Partner with business unit leaders, finance, and operations on integration planning
– Develop and drive the agenda for integration matters, which includes coordinating business units, functional teams, and formulating recommendations for ExCo
– Support post-transaction performance monitoring and ensure realization of strategic and financial objectives
– Mentor and develop junior team members; contribute to building a world-class corporate development function
– Monitor market developments and emerging opportunities, including energy transition and adjacent sectors.

  • A completed master’s degree in Finance, Economics, Engineering, Business Administration or a related field from a reputable institute.
  • Minimum 15 years of relevant experience in M&A, investment banking, private equity, corporate development with a primary focus on oil & gas deal making.
  • Proven track record of leading complex cross-border transactions across the energy value chain, from origination through execution and post-transaction value delivery.
  • Extensive experience negotiating and structuring SPAs (including pricing and completion mechanisms), SHAs, JVAs and shareholder governance frameworks in multi-partner environments.
  • Experience in leading marketing processes for asset and portfolio divestments, including preparation of marketing materials, investor engagement and management of competitive sale processes.
  • Experience in negotiating and structuring upstream offtake agreements and commercial arrangements.
  • Solid knowledge of M&A processes, deal structuring and negotiation strategies.
  • Strong skills in financial modeling and valuation techniques, understanding of oil & gas value chains and asset valuation, including reserves‑based economics.
  • Deep understanding of upstream value drivers, including exploration risk, development economics and production performance.
  • Experience in negotiating and managing production sharing contracts, fiscal regimes, and regulatory frameworks.
  • Strong experience working with international oil companies, national oil companies, and government stakeholders in diverse jurisdictions.
  • Demonstrated ability to assess and manage technical, economic, commercial, financial, political, organizational and strategic risks in transactions.
  • Awareness of and interest in energy transition investments and emerging low‑carbon opportunities.
  • Experience in public market transactions (IPO, bonds issue, ratings, etc.) is a key requirement.
